General Terms and Conditions

1. Scope

These General Terms and Conditions (“Terms”) apply to all purchases made through the online store of RYE by Martin Auer (“RYE”, “we”, “us”, “our”). By placing an order through our website, you (“you”, “the customer”) agree to these Terms.

2. Products and Availability

Our online store offers a curated selection of items, including our signature 100 percent rye sourdough bread and selected spreads (“Products”). All Products are made in limited quantities and may not always be available. We may change, limit, or discontinue Products at any time without prior notice.

3. Ordering

Orders are placed exclusively through our website. Adding items to your cart does not constitute a binding order. A contract is formed when you receive an order confirmation by email. We may refuse or cancel orders, including in cases of suspected misuse, incorrect pricing, lack of availability, or if the delivery address lies outside our service area.

4. Prices and Payment

Prices are listed in USD and include applicable New York State and City sales tax. Payment must be completed using the methods offered at checkout. Orders are processed only after full payment has been received.

5. Perishable Goods, Merchandise, and Returns

Our Products are made fresh daily. All sales are final. Due to the perishable nature of our bakery items, completed orders cannot be returned, exchanged, or refunded once fulfilled.

If you receive an incorrect, damaged, or otherwise faulty order, please notify us within 48 hours of delivery or pickup by emailing hello@martinauer.com with a short description and photo. After reviewing the matter, RYE may, at its discretion, offer a refund or replacement.For non-perishable items such as merchandise, please ensure that you confirm sizes, colors, or variants before placing your order, as these items are also final sale unless they arrive damaged or incorrect.

6. Allergies and Ingredients

Ingredients are listed on our website. All Products are produced in an environment that handles gluten, nuts, seeds, and dairy. Customers with allergies should contact us before placing an order.

7. Intellectual Property

All content on this website, including text, images, logos, and design, is the property of RYE by Martin Auer or its affiliates. Any use, reproduction, or distribution without prior written permission is not permitted.

8. Limitation of Liability

To the fullest extent permitted by law, RYE is not liable for indirect, incidental, or consequential damages arising from your use of our Products or Services. Our liability for direct damages is limited to the total value of the order in question.

9. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Any dispute must be resolved exclusively in the courts of New York County, New York.

User-Generated Content Terms

These User-Generated Content Terms apply when you respond with #YESRYE to a request from RYE by MARTIN AUER or MARTIN AUER Bakehouse USA Inc. to use your content.

By replying with #YESRYE, you confirm that you agree to the following terms:

1. Content Covered
Your consent applies to the specific Instagram post, Reel, Story, image, video, caption or other content that we have requested to use.

2. Rights Granted
You grant RYE by MARTIN AUER or MARTIN AUER Bakehouse USA Inc. the non-exclusive, worldwide, royalty-free right to store, reproduce, publish, display, edit, adapt, crop, reformat and otherwise use the requested content for RYE by MARTIN AUER’s own Instagram communication.

3. Channels of Use
The content may be used on RYE by MARTIN AUER’s own Instagram account. If we would like to use the content on other channels, such as our website, newsletters, Facebook, TikTok or other media, we may contact you separately for additional permission.

4. Duration and Territory
Your consent applies worldwide and remains valid until you withdraw it.

5. Edits and Adaptations
We may make reasonable edits to the content, including cropping, resizing, format adjustments, adding subtitles, translations, text overlays or incorporating the content into layouts, stories, reels, carousels or collages. We will not intentionally alter the content in a misleading or damaging way.

6. Attribution
We may publish your Instagram handle or account name alongside the content, unless you ask us not to do so.

7. Third-Party Rights
By replying with #YESRYE, you confirm that you own or control the necessary rights to the content and that our use of the content will not infringe any third-party rights, including copyright, trademark, privacy, personality or data protection rights. You also confirm that any identifiable persons shown in the content have consented to the intended use.

8. No Compensation
You understand that your permission is voluntary and that you will not receive payment or other compensation for our use of the content, unless otherwise agreed in writing.

9. Withdrawal of Consent
You may withdraw your consent at any time by contacting us at hello@martinauer.com. If you withdraw your consent, we will stop using the content within a reasonable period of time and remove it from our own Instagram account were reasonably possible. Please note that content already shared, copied or reposted by third parties may not be fully removable by us.
